Terms of Service

Acceptance

By engaging Patchvoice services or using patchvoice.com, you agree to these Terms of Service. If you don't agree, please don't use our service.

Patchvoice ("we," "our," "Patchvoice") is operated by Tiberias Enterprises, a California S-Corp.

You ("you," "Customer," "the Customer") are the business or individual engaging our services.

1. What We Provide

Patchvoice provides a one-time AI receptionist setup service. This includes:

• Configuration of your account on Synthflow, a third-party AI voice platform
• Telephony setup via Twilio (or porting your existing phone line)
• Custom qualification flow tuned to your specific services
• Booking integration with your existing calendar or CRM (subject to supported integrations)
• 14 days of post-launch tuning and adjustment
• Documentation for self-managing your AI receptionist after the tuning window

We are a setup and configuration service. We are not the underlying AI voice platform (Synthflow) or the telephony provider (Twilio).

2. What You're Responsible For

As a Customer, you agree to:

• Provide accurate information during intake (services, hours, business details)
• Have a valid Stripe-compatible payment method for the $500 setup fee
• Sign up for Synthflow and Twilio accounts in your name (we configure them; you own them)
• Pay Synthflow and Twilio directly for their ongoing platform costs (typically ~$60/month combined)
• Communicate with us during the 14-day tuning window for any adjustments needed
• Use the AI receptionist for lawful business purposes related to your services
• Comply with applicable telecom laws (FCC AI disclosure requirements; we configure the AI to identify as automated)
• Comply with applicable data privacy laws regarding your customers' information

3. Fees and Payment

Setup Fee

• Amount: $500, one-time, charged via Stripe at the start of our engagement
• Refund: subject to our Refund Policy

Ongoing Costs (paid by you, not to us)

• Synthflow: approximately $59/month for typical SMB usage; you pay Synthflow directly
• Twilio: approximately $2/month for phone number + per-minute usage charges (typically ~$5/month for low call volume); you pay Twilio directly

We don't receive a percentage of your Synthflow or Twilio costs. We earn only the one-time setup fee.

Optional Retainer

If you sign up for our optional Maintenance ($199/month) or Premium ($299/month) retainer after onboarding, that's a separate billing arrangement detailed in a separate Retainer Agreement.

4. Service Timeline

• We commit to delivering your configured AI receptionist within 5 business days of receiving your completed intake form and Synthflow/Twilio account access.
• The 14-day tuning window starts on the day your AI receptionist goes live.
• The 30-day guarantee window (see Refund Policy) starts on the day your AI receptionist goes live.

If we fail to deliver within 5 business days through no fault of yours, you're entitled to a full refund (or extension by mutual agreement).

5. Customer Owns the System

Your Synthflow account, Twilio phone number, and any data captured by your AI receptionist are yours. If you discontinue our service:

• You keep the Synthflow account (in your name)
• You keep the Twilio phone number (in your name)
• We do not retain ongoing access to your accounts
• You can continue using the AI receptionist independently or with another service provider

This is intentional. We're a setup service, not a lock-in service.

6. Limitations and Honest Disclaimers

We're honest about what AI can and cannot do:

• The AI is not a human. It identifies itself as an automated assistant. Some of your callers may prefer to talk to a human; they have that option (the AI escalates to "I'll have someone call you back").
• The AI is not 100% accurate. It may occasionally misunderstand callers. We tune it during the 14-day window to minimize this.
• Synthflow's platform availability is not guaranteed by us. If Synthflow has an outage, the AI receptionist won't be available during that outage. Synthflow's uptime track record is strong; we monitor and notify customers proactively.
• Call volume affects ROI. If your business doesn't receive enough calls (e.g., less than 5 calls/month), the AI may not capture the 5 qualified jobs required for the guarantee. We screen for this during intake.

We don't promise specific revenue increases, customer conversion rates, or business outcomes beyond what's in our guarantee.

7. Intellectual Property

• Our configuration work, templates, and documentation are our intellectual property. You have a perpetual license to use them for your own AI receptionist.
• Your business information, brand, and services remain yours.
• The Synthflow platform is Synthflow's IP; the Twilio platform is Twilio's IP. We don't claim rights to either.
• We may reference our work with you in aggregate (e.g., "we've set up 50+ AI receptionists for home services businesses") but we won't identify you specifically without your permission.

8. Confidentiality

We treat the information you share with us during setup as confidential. We don't share your business details with other customers, competitors, marketing companies, or anyone other than the service providers necessary to deliver our service (Synthflow, Twilio, Stripe).

You agree not to publicly reproduce or share our setup processes, configuration templates, or proprietary methods in ways that would harm our business.

9. Refund Policy

See our Refund Policy. Summary:

• 14-day no-questions refund window after payment
• 30-day "5 qualified jobs" guarantee starting at go-live
• Full $500 refund if either applies
• You keep the Synthflow account regardless

10. Termination

Either party may terminate this engagement at any time:

• Customer termination: during the 14-day refund window, you receive a full refund. After that, no refund except per the 30-day guarantee.
• Patchvoice termination: if you violate these Terms (e.g., use for unlawful purposes, fail to provide accurate information), we may terminate. We'll refund any unearned portion of the setup fee.

Termination doesn't void our confidentiality obligations to you.

11. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability under these Terms is limited to the amount you paid us (typically $500 for setup, or $500 + paid retainer if applicable).
• We're not liable for indirect, incidental, or consequential damages, lost profits or business opportunities (beyond our guarantee terms), issues caused by Synthflow, Twilio, or other third parties beyond our control, or customer actions that violate applicable laws.

This limitation doesn't apply where prohibited by law (e.g., gross negligence, intentional misconduct).

12. Indemnification

You agree to indemnify us against claims arising from your unlawful use of the AI receptionist, misrepresentations you make about your business in the intake, or your customers' claims against you (we're not party to your customer relationships).

13. Governing Law

These Terms are governed by the laws of California, without regard to conflict-of-law principles.

Disputes will be resolved in the courts of California or through binding arbitration (at our mutual option), subject to applicable law.

If you're a California consumer, your statutory rights under California law are not waived.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be posted to our website with an updated effective date and emailed to active customers. Continued use of our service after changes constitutes acceptance of updated Terms.

16. Severability

If any part of these Terms is found unenforceable, the rest remains in effect.

17. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Patchvoice regarding our service.

If there's a conflict between these Terms and any other communication (sales email, marketing copy, etc.), these Terms control.
